1. Definitions
- "Company", "we", "us", "our" — Manee Systems, located at 209 Silom Road, Suriyawong, Bangkok 10500, Thailand.
- "Client", "you", "your" — the individual or organisation engaging our services or accessing this website.
- "Services" — the AI integration consulting services offered by Manee Systems, including Opportunity Mapping, Tailored Integration, and the Continuity Programme.
- "Agreement" — the service engagement confirmed between you and Manee Systems, incorporating these Terms & Conditions.
- "Deliverables" — any reports, integration configurations, documentation or guidance materials produced as part of a Service.
- "Confidential Information" — any non-public information shared by either party in connection with a Service engagement.
2. Acceptance of Terms
By accessing this website or engaging our Services, you confirm that you have read, understood and agree to be bound by these Terms & Conditions. If you are acting on behalf of an organisation, you confirm that you have authority to bind that organisation to these terms.
Our Services are intended for business professionals and organisations. You must be at least 18 years of age and have the legal capacity to enter into binding agreements in your jurisdiction.
3. Services Description
Manee Systems provides three consulting service tiers, each scoped and agreed prior to commencement:
Opportunity Mapping — ฿5,200
A structured review of selected operational areas to identify suitable AI integration opportunities, delivered as a written report with reasoned recommendations.
Tailored Integration — ฿11,200
Implementation of a chosen AI capability within one agreed system, including staff briefing, handover session and written guidance. Includes 30 days of post-implementation support access.
Continuity Programme — ฿17,600/month
An ongoing relationship covering maintenance, tuning, quarterly reviews and plain-language reporting. Engaged on a month-to-month basis.
Service availability is subject to our current capacity. We will communicate any limitations clearly before confirming an engagement.
4. User Responsibilities
To allow us to work effectively on your behalf, you agree to:
- Provide accurate and complete information about your organisation and systems
- Make relevant personnel and resources reasonably available during a project
- Review and respond to our queries in a timely manner
- Notify us promptly of any changes that may affect the agreed scope
- Use any Deliverables only for lawful business purposes
- Not reverse-engineer, reproduce or redistribute proprietary materials without our written consent
5. Intellectual Property
All methodologies, frameworks, templates and general knowledge assets used or developed by Manee Systems remain our intellectual property.
Deliverables prepared specifically for you under a paid Service engagement are licensed to you for your internal business use on a non-exclusive, non-transferable basis. Ownership of bespoke Deliverables transfers to you upon receipt of full payment.
You retain ownership of all your own data, systems, and materials provided to us during an engagement. We will not use your proprietary information for any purpose beyond delivering your agreed Services.
6. Payment Terms
- All fees are quoted and payable in Thai Baht (฿)
- An invoice will be issued upon confirmation of engagement
- Payment is due within 14 days of invoice date, unless otherwise agreed in writing
- The Continuity Programme is billed monthly in advance
- Late payments may incur a reasonable administrative charge after 30 days
- Fees are non-refundable once a Service has commenced, except where we have not delivered the agreed scope
- We reserve the right to pause work until outstanding amounts are settled
7. Service Delivery Terms
We aim to work within the timelines indicated for each service tier, though actual duration may vary depending on the complexity of your environment and the availability of your team.
- Changes to agreed scope must be requested in writing and may affect timelines and fees
- We will notify you promptly if unforeseen circumstances affect delivery
- Acceptance of Deliverables should be communicated within 10 business days of receipt
- Minor revisions within the original scope are included; substantial rework may be quoted separately
8. Confidentiality
Both parties agree to hold the other's Confidential Information in confidence and not to disclose it to third parties without prior written consent. This obligation continues for three years after the conclusion of an engagement.
Exceptions apply where disclosure is required by law, regulation or court order, or where information has become publicly known through no fault of the receiving party.
9. Disclaimers
Our Services are provided in good faith and with reasonable professional care. We do not warrant that any AI integration will produce specific business outcomes, as results depend on many factors outside our control.
We are not a legal, financial or regulatory advisor. Any recommendations we make should be reviewed against applicable laws and regulations by appropriate professionals before implementation.
10. Limitation of Liability
To the extent permitted by Thai law, our total liability for any claim arising from a Service engagement is limited to the fees paid for that specific engagement in the 12 months preceding the claim.
We shall not be liable for indirect, consequential, or incidental losses including loss of profit, loss of data, or business interruption, even where we have been advised of the possibility of such losses. We are also not liable for delays or failures caused by events beyond our reasonable control.
11. Indemnification
You agree to indemnify and hold Manee Systems harmless from any claims, losses or expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of our Deliverables, or any infringement of third-party rights caused by information you have provided to us.
12. Termination
Either party may terminate a Service engagement by providing 30 days' written notice. For the Continuity Programme, notice must be given before the next billing cycle to avoid that month's charge.
We reserve the right to suspend or end an engagement immediately if payment obligations are seriously in arrears or if a material breach of these Terms has occurred and has not been remedied within 14 days of notice. Provisions relating to intellectual property, confidentiality, payment of outstanding fees, and dispute resolution survive termination.
13. Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Kingdom of Thailand. In the event of a dispute, we would ask both parties to first attempt to resolve matters through good-faith discussion.
If informal resolution is not reached within 30 days, either party may refer the matter to mediation before pursuing formal proceedings. Any legal proceedings shall be subject to the jurisdiction of the courts of Bangkok, Thailand.
14. General Provisions
- Entire agreement — these Terms, together with any written service agreement, constitute the full understanding between the parties
- Severability — if any clause is found to be unenforceable, the remainder of the Terms continues in effect
- Waiver — failure to enforce any provision does not constitute a waiver of that right
- Assignment — you may not transfer your rights under these Terms without our written consent
- Notices — formal notices should be sent by email to the address specified by each party
15. Changes to Terms
We may update these Terms from time to time. We will update the Effective Date above and, for material changes, will make reasonable efforts to notify active clients. Continued engagement with our Services after changes are published constitutes your acceptance of the revised Terms.
